Fidel80 Terms of Use

1. Definitions

• "Site" means https://fidel80.com and any related web interfaces.
• "Service" means Fidel80's identity verification, KYC, compliance, fraud prevention, and related technology services.
• "Customer" means any organization or entity using the Service.
• "User" means any individual authorized by a Customer to access the Service.
• "End User" means a natural person whose identity is verified using the Service.
• "Content" means data, documents, images, or information submitted to the Service.

2. Eligibility and Authority

You represent and warrant that:

• You are at least 18 years old.
• If acting on behalf of an organization, you have authority to bind that organization.
• You will use the Service only for lawful purposes and in compliance with applicable laws and regulations.

3. Description of the Service

Fidel80 is a technology platform that enables organizations to perform identity verification, KYC, compliance checks, fraud detection, and related activities.

Fidel Platforms does not:

• Act as a bank, financial institution, or government authority
• Provide legal, regulatory, or compliance advice
• Guarantee the legal sufficiency of verification results for any specific regulatory obligation

Verification results are provided "as is" and must be independently assessed by the Customer.

4. Account Registration and Security

To access certain features, Users must create an account.

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of login credentials
• Immediately notify us of unauthorized access or security breaches

You are responsible for all activities conducted through your account.

5. Customer Obligations

Customers agree to:

• Obtain all required consents from End Users before submitting Personal Data
• Ensure submitted data is lawful, accurate, and relevant
• Use the Service only for legitimate identity verification purposes
• Comply with all applicable data protection, AML, KYC, and consumer protection laws

Customers remain solely responsible for their compliance obligations.

6. Data Protection and Privacy

• Personal Data is processed in accordance with our Privacy Policy and Data Processing Addendum (DPA).
• Customers act as Data Controllers; Fidel Platforms acts as a Data Processor.
• Customers must not submit data they are not legally authorized to process.

7. Acceptable Use

You shall not:

• Use the Service for unlawful, deceptive, or fraudulent purposes
• Circumvent security controls or access unauthorized systems
• Reverse engineer, copy, or resell the Service
• Submit malicious code, false identities, or stolen data
• Use the Service to discriminate unlawfully or violate human rights

Violation may result in suspension or termination.

8. Intellectual Property

All rights, title, and interest in the Service, including software, APIs, trademarks, logos, and documentation, are owned by Fidel Platforms or its licensors.

No rights are granted except as expressly stated in these Terms.

9. Third-Party Services

The Service may rely on third-party infrastructure or data sources. Fidel Platforms is not responsible for outages, inaccuracies, or failures caused by third parties beyond reasonable control.

10. Fees and Payment (If Applicable)

Fees, billing terms, and payment obligations (if any) are governed by a separate commercial agreement or order form between Fidel Platforms and the Customer.

Failure to pay may result in suspension or termination of access.

11. Availability and Modifications

We may:

• Modify or discontinue parts of the Service
• Perform maintenance that may cause temporary downtime
• Update features, APIs, or functionality

We are not liable for modifications made to improve or secure the Service.

12. Termination

We may suspend or terminate access:

• For violation of these Terms
• For unlawful or abusive use
• To comply with legal or regulatory requirements
• For non-payment or security risks

Upon termination, your right to use the Service ceases immediately.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIDEL PLATFORMS DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY OR COMPLETENESS OF VERIFICATION RESULTS
• NON-INFRINGEMENT

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

FIDEL PLATFORMS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES

TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM, UNLESS OTHERWISE REQUIRED BY LAW.

15. Indemnification

Customers agree to indemnify and hold harmless Fidel Platforms from claims arising out of:

• Unlawful use of the Service
• Failure to obtain End User consent
• Violation of applicable laws or regulations
• Submitted data or Content

16. Governing Law and Disputes

These Terms shall be governed by the laws specified in the applicable commercial agreement, without regard to conflict-of-law principles.

Dispute resolution mechanisms may be defined in a separate agreement.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on the Site or communicated to account holders. Continued use constitutes acceptance of updated Terms.
